Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AgentHQ platform, website at myagenthq.app, and related services (collectively, the "Services") provided by Matrix Holdings Inc, a corporation registered in Alberta, Canada, operating under the trade name "AgentHQ", based at 101, 2511 3rd Ave NW, Calgary, Alberta, Canada T2N 0L4 ("AgentHQ," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

1. Definitions

"Account" means the account you create to access the Services.
"Customer" or "you" means the individual or entity using the Services.
"Leads" means the prospects, contacts, or recipients whose information you upload to or process through the Services.
"Services" means the AgentHQ platform and all associated software, APIs, and features, including without limitation Deal Lock, Follow-up Sequences, Voice Agent, and Open House System.

2. Eligibility and Account Registration

2.1. You must be at least 18 years old and legally authorized to enter into binding agreements.

2.2. You must provide accurate, current, and complete information during registration and keep it updated.

2.3. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account.

2.4. Notify us immediately at fg@me3babe.com if you suspect unauthorized use of your Account.

3. License and Permitted Use

3.1. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes as a real estate professional.

3.2. You may not: (a) resell, sublicense, or redistribute the Services; (b) reverse-engineer, decompile, or disassemble any component of the Services; (c) use the Services to build or train a competing product; (d) use the Services in any manner that violates applicable law.

4. Your Responsibilities — Messaging Compliance

This section is important. The Services enable you to send SMS, email, and automated voice communications to Leads on your behalf. You, not AgentHQ, are solely responsible for complying with all applicable laws governing such communications, including but not limited to:

4.1. Canada: Canada's Anti-Spam Legislation (CASL), the Personal Information Protection and Electronic Documents Act (PIPEDA), and CRTC unsolicited telecommunications rules, including applicable do-not-call obligations.

4.2. United States: The Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and applicable state-specific consumer protection and privacy laws.

4.3. You represent and warrant that you have obtained all consents required by applicable law from Leads before using the Services to contact them.

4.4. You are the sender of record for all messages sent through the Services. AgentHQ provides the technology; you bear the legal responsibility.

4.5. You will indemnify AgentHQ for any claims arising from your use of the Services to contact Leads, per Section 11.

5. Payment Terms

5.1. Prices are listed in United States dollars (USD).

5.2. One-time purchases (e.g., Deal Lock, Deal Lock + Follow-up) are non-recurring and billed once at checkout.

5.3. Subscription products (e.g., Voice Agent) are billed in advance on a monthly basis until canceled.

5.4. Payments are processed by Stripe. By purchasing, you authorize Stripe to charge your chosen payment method for all applicable fees.

5.5. All fees are exclusive of applicable taxes (GST, HST, PST, sales tax). You are responsible for all taxes associated with your use of the Services.

5.6. Failure to pay may result in suspension or termination of your Account.

6. Refund Policy

6.1. One-time purchases: Refunds are available within 7 days of purchase if you have not substantially used the Services. "Substantially used" means you have sent fewer than 25 total communications (SMS, email, or voice) through the Services.

6.2. Subscriptions: You may cancel at any time. You retain access until the end of your current billing period. We do not prorate refunds for partial billing periods unless required by law.

6.3. Refund requests must be submitted to fg@me3babe.com within the applicable refund window.

7. Intellectual Property

7.1. AgentHQ retains all right, title, and interest in the Services, including all associated software, content, trademarks, and intellectual property.

7.2. You retain all rights to Lead data you upload or generate through the Services. You grant AgentHQ a limited, non-exclusive license to process Lead data solely to provide the Services to you.

7.3. You may not use the AgentHQ name, logo, or trademarks without our prior written consent.

8. Third-Party Services

The Services rely on third-party providers (see our Privacy Policy for the current list of sub-processors). Your use of the Services is also subject to the terms of these providers. AgentHQ is not responsible for third-party services or any failure or outage thereof.

9. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTHQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT GUARANTEE ANY SPECIFIC RESULT FROM USE OF THE SERVICES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTHQ'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AGENTHQ IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CA$100).

IN NO EVENT SHALL AGENTHQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to defend, indemnify, and hold harmless AgentHQ and its affiliates from any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

(a) your use or misuse of the Services;

(b) your violation of these Terms;

(d) your infringement of any third-party right;

(e) any claim by a Lead arising from your use of the Services to contact them.

12. Termination

12.1. Either party may terminate these Terms at any time by providing notice.

12.2. AgentHQ may suspend or terminate your Account immediately, with or without notice, if we reasonably believe you have violated these Terms or engaged in conduct that risks harm to AgentHQ, other users, or third parties.

12.3. Upon termination, your license to use the Services ends. Provisions that by their nature should survive termination (including Sections 4, 7, 9, 10, 11, and 13) will continue in effect.

13. Governing Law and Dispute Resolution

13.1. These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

13.2. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts located in Calgary, Alberta, Canada, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated via email to the address associated with your Account or via prominent notice on the Services. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

15. Entire Agreement; Severability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AgentHQ regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
